Terms and Conditions of Sale

This document is available in French (reference version) and in English. In the event of any discrepancy in interpretation between the two versions, the French version shall prevail.
1. Purpose and scope
These Terms and Conditions of Sale (hereinafter the "Terms") govern the sale of services provided by Robin Hayart (hereinafter the "Publisher"), operator of the Gatesly website, to its customers.
The Gatesly service is intended exclusively for professionals (legal entities or individuals acting in the course of their professional, commercial, craft, liberal or agricultural activity). Any order placed on the website constitutes the customer's acknowledgment of their professional status.
These Terms apply to the exclusion of any other terms, in particular those of the customer. They supplement the Terms of Use available on the website.
2. Description of the service
Gatesly is an online platform for managing attendance check-in for events. The service notably includes:
- Creating and managing an event on the platform
- Importing and managing the participant list
- Generating individual QR codes
- Scanning and checking in/out participants in real time
- Exporting check-in results
- Viewing check-in statistics
- Managing dedicated access for hostesses
The proper functioning of the service requires an internet connection.
The service is provided on a pay-per-event basis, according to the plan selected when ordering. The precise features of each plan are detailed on the Pricing page.
Some features are reserved for specific plans and are not available in all offers. This is notably the case for the detailed check-in history (timestamped log of check-in/check-out actions, with operator identification), which is only accessible in plans that include this option. The customer is advised to check the description of their plan before ordering.
3. Pricing
Plan prices are those indicated on the Pricing page at the time of ordering. They are expressed in euros, net of taxes.
The Publisher reserves the right to modify its prices at any time. Changes only take effect for orders placed after their publication. The applicable price is the one in effect at the time the order is confirmed.
4. Order and activation
The ordering process is as follows:
- The customer creates an account or logs in to Gatesly.
- The customer creates an event and selects the plan best suited to their needs.
- The customer confirms their order and makes payment.
- Upon receipt of payment confirmation, the event is activated and the customer gains access to all the features of the subscribed plan.
A confirmation email is sent to the address associated with the customer's account as soon as the service is activated.
5. Payment
Payment is due in full at the time of ordering, prior to any activation of the service.
The accepted payment methods are as follows:
- Credit/debit card (via Stripe, a secure payment provider)
- Bank transfer
In the event of payment by bank transfer or cheque, the service will be activated once the funds have been received and effectively validated. For any payment method other than card, the customer is invited to contact the Publisher via the Contact page.
Card transactions are secured by Stripe, Inc. The customer's banking details are never stored on Gatesly's servers.
6. Invoicing
In accordance with applicable regulations (art. L441-9 of the French Commercial Code), an invoice is issued by the Publisher following each validated payment. This invoice is sent to the customer by email within a reasonable time after receipt of payment.
The invoice includes in particular: the Publisher's SIREN number, the date, a description of the plan purchased, the total amount including tax and, where applicable, the statement "VAT not applicable, art. 293 B of the French Tax Code" if the Publisher is exempt from VAT.
The automatic receipt generated by Stripe does not constitute a legal invoice. The official invoice is issued separately by the Publisher.
7. Duration, scope of access and usage lock
The subscribed access is valid for a single event. It does not apply to other events created on the account, each of which requires a separate subscription.
Once activated, the event management features (check-in, viewing, export) remain accessible for a period of 1 year.
Usage lock — Integrity of attendance data:
To guarantee the integrity of check-in data and prevent any improper reuse of access that has already been used, a permanent lock is automatically applied once the check-in threshold defined for the subscribed plan is reached:
Failing that, the default threshold is 50 cumulative check-ins.
Once this threshold is reached:
- Importing new participants is permanently disabled for this event.
This lock is permanent and does not affect other features: individually adding participants, checking in, viewing check-in lists and exporting results remain fully available.
The customer is advised to ensure that their participant list is complete and final before starting check-in operations.
The Publisher further reserves the right to define maximum retention periods for data relating to past events, in accordance with its Privacy Policy.
8. No right of withdrawal
As the service is intended exclusively for professionals, the provisions relating to the right of withdrawal set out in the French Consumer Code (art. L221-18 et seq.) do not apply to orders placed on Gatesly.
Any activated access is due in full, even in the event of partial use or cancellation of the event by the customer.
However, in the event of a technical failure attributable to the Publisher that renders the service unusable, the customer may request a refund or credit note by contacting the Publisher at contact@gatesly.com. Each request is reviewed on a case-by-case basis.
9. Liability
The Publisher undertakes to use all reasonable means to ensure the availability and proper functioning of the service. However, its liability is limited to direct damages and may not, under any circumstances, exceed the total amount paid by the customer for the event concerned.
The Publisher shall not be held liable for indirect damages such as: loss of revenue, loss of customers, loss of data, damage to reputation, or any other immaterial damage resulting from the use of or inability to use the service.
It is the customer's responsibility to ensure that the service meets their needs before making any purchase, in particular by reviewing the plan descriptions available on the Pricing page.
10. Force majeure
The Publisher shall not be held liable for any delay or failure to perform the service resulting from an event of force majeure within the meaning of article 1218 of the French Civil Code, i.e. any unforeseeable, irresistible and external event, in particular:
- Failure or unavailability of the hosting provider's infrastructure (Hetzner)
- Cyberattack, malicious computer act or security breach
- Failure of telecommunications networks or the internet
- Natural disaster, fire, flood
- Strike, labor dispute, government or regulatory decision
- Pandemic or epidemic recognized by health authorities
In the event of force majeure, the Publisher will inform the customer as soon as possible. If the force majeure event persists for more than seven (7) calendar days, the parties may agree on a credit note or an alternative solution.
11. Complaints
Any complaint relating to an order must be sent to the Publisher by email at contact@gatesly.com or via the contact form, stating the order number and the nature of the issue encountered.
The Publisher undertakes to acknowledge receipt of the complaint within 5 business days and to respond within 30 calendar days.
12. Personal data
Personal data collected as part of an order is processed in accordance with Gatesly's Privacy Policy. It is used exclusively for managing the business relationship and providing the service.
13. Changes to these Terms
The Publisher reserves the right to modify these Terms at any time. The applicable Terms are those in effect at the time the order is confirmed. The date of the last update is shown at the top of this document.
14. Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute relating to their interpretation or performance, and failing an amicable resolution, the competent courts shall be those of the jurisdiction where the Publisher is registered, subject to any mandatory legal provisions to the contrary.
